Terms and Conditions
	Affiliate Terms of Service Contract This Affiliate Agreement contains the complete terms and conditions between BEZA.NET, and you, the affiliate regarding your participation as an affiliate of BEZA.NET Referral Program. Our Affiliate Network To participate as an affiliate, you are required to complete an affiliate application located at http://affiliate.beza.net. The application will be evaluated, and we will notify you of your acceptance in a timely manor. At our discretion, we may decide for any reason that your site cannot participate in our network. If you are a US resident, we will request that you provide us with your Social Security Number or Tax ID number. We do not require this information for international affiliates. How it works BEZA.NET will provide our affiliates with unique tracking codes. These codes must be placed in the HTML of your website, email footers, and newsletter campaigns (NOT spam). When a user clicks on one of these links, the visitor will be directed to BEZA.NET or one of our other websites. If the user places an order in the next 365 days from that computer or Internet connection, our automated system will track the sale and automatically credit your account. You may use any form of promotion you choose, consistent with the terms of this Agreement. You may use banner advertisements, button links and/or text links to our site (the "Links"), however, you CANNOT SPAM. Any activity by you or on your behalf that we determine or reasonably suspect to be the result of an unsolicited bulk e-mail program will result in your immediate termination from the Program and you forfeit of any monies otherwise due you hereunder. Allowable promotional links may contain BEZA.NET's trade names, service marks, and/or logos for display on your Affiliate Site. Subject to the terms and conditions hereof, you are granted a limited, non-exclusive, non-transferable license to access and download such Links and other designated promotional materials for placement on your Affiliate Site for the sole and exclusive purpose of promoting websites owned, operated or controlled by BEZA.NET. In utilizing the Links, you agree that you will cooperate fully with us in order to establish and maintain such Link or Links. A Link may only be visually modified with our consent. In order for automated tracking to be successful the visitor must have clicked on your tracking link/pixel, have cookies and javascript enabled in their browser, not cleared cookies or switch Internet Service Providers before placing a successful order. If the automated tracking fails for any reason and you wish to earn commission for this referral you must contact BEZA.NET Affiliate Manager at affiliatesmanager [at] beza.net. Commissions Commissions will be paid to affiliates based on successful referrals. A successful referral, or sale, is defined as: non-fraudulent, active for a period of ninety (90) days, not cancelled new client who has paid for services in full and has been directed to BEZA.NET through your affiliate tracking link. Upon such cancellation of said commission, we will provide at our discretion any and all non-private information to show sufficient reason for cancellation. Due to the high frequency of credit card fraud and cancellation rates, there will be a 90 day hold from the time you generate a signup, and the time you are eligible to be paid on that signup. New signups must stay a minimum of 90 days in good standing for you to have full claim to the affiliate payout. We have the right to subtract the payout fee if a customer requests a refund within this 90 day period, or if their account is not in good standing. An account is considered in not good standing if they fail to remit payment for service on timely fashion or have been found to violate BEZA.NET Acceptable Use Policy (AUP). BEZA.NET reserves the right to hold commissions for up to 90 days for verification, cancel commission in the event that BEZA.NET is unable to collect funds, the order is fraudulent, the customer cancels and is refunded, or if BEZA.NET learns that the commission was earned improperly. Pay periods are always done from the 1st of the month until the 15th. BEZA.NET will process affiliate commissions for the past quarter period and issue payments. For example: January 1st to January 31st you earn $500 via the BEZA.NET Affiliate Programs. On April 15th (90 days after the actual sale), you would be paid for these referrals. This time frame allows us to evaluate every order and assert its validity. In the event we are unable to verify the order during this time frame, we may, at our sole discretion, hold your commission or cancel the order. Cancelled commissions cannot be reinstated. Website Owner/Operator Responsibility You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. We shall have no responsibility for the development, operation and maintenance of your web site and for all materials that appear on your site. You shall also be responsible for ensuring that materials posted on your site do not violate or infringe upon any laws, including but not limited to 18 U.S.C. Section 2257, or the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights), and ensuring that materials posted on your site are not libelous or otherwise illegal. You must have express permission to use another party's copyrighted or other proprietary material. We will not be responsible if you use another party's copyrighted or other proprietary material in violation of the law. In addition to the foregoing, we will immediately terminate your participation in the Program if we believe you have engaged in any of the following: - Unsolicited mass e-mail solicitations, IRC postings or any other form of spamming, including but not limited to, newsgroups or AOL customers or otherwise violate the anti-spamming policies of BEZA.NET or state law; - Provide inaccurate or incomplete information to BEZA.NET concerning your identity, address or other required information; - Attempt to cheat, defraud or mislead us in any way; - Misrepresent to the public the terms and conditions of our sites or your sites; Base Commissions Commission rates are posted on www.beza.net/partner/ and will be updated there. If you have received a custom commission from BEZA.NET in exchange for a large number of referrals then BEZA.NET will modify your account settings to reflect this. 2nd Tier Program Our 2nd Tier Program allows any BEZA.NET affiliate to refer other affiliates and earn a portion of their earnings. For example: Affiliate A refers affiliate B to BEZA.NET. Affiliate A will earn 5% of Affiliate B's earnings. If Affiliate B earns $100 in commissions, Affiliate A will also earn $5. Affiliate Support Services BEZA.NET will provide reasonable support services to affiliates. Certain affiliates who have demonstrated a high level of volume will be assigned account managers. Term of the Agreement The term of this agreement will begin upon acceptance of your affiliate program application, and will end when terminated by either involved party. You and BEZA.NET reserve the right at any time to cancel this relationship, with or without cause, by giving notice of termination. Once terminated, you will not be eligible to receive commissions for any future referrals. We may modify any of the terms and conditions and commission payout rates contained in this Agreement, at any time and in our sole discretion. Notice of any change by e-mail, to your address on our records, or the posting on our site of a change notice of a new agreement, is considered sufficient notice for notifying you of a modification to the terms and conditions of this Agreement. Modifications may include, but are not limited to, changes in the scope of available commission fees, commission schedules, payment procedures, and Referral Program rules. Disclaimers We make no implied warranties or representations with respect to the BEZA.NET Referral Program or any services sold via BEZA.NET or related sites. Additionally, neither party will be liable for any consequences of any interruptions of errors. Limitations of Liability We will not be liable for incidental, special, indirect, or consequential damages, or any loss of revenue, profit, or data arising in connection with this agreement. The total loss of either party will not exceed the total commissions paid or payable to you under this agreement. Indemnification You agree to indemnify and hold harmless BEZA.NET, and our subsidiaries, affiliates, directors, officers, employees against any and all claims, losses, demands, damages, expenses, settlements. You and BEZA.NET are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. You are not an agent of the BEZA.NET and BEZA.NET expressly disclaims responsibility for any conduct by you in violation of our terms of agreement. Governing Law The laws of United States, the District of Columbia will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Washington, DC. I AGREE TO THIS AGREEMENT AND ACKNOWLEDGE THAT I HAVE READ THESE TERMS AND CONDITIONS BY SUBMITTING MY AFFILIATE APPLICATION.
